1. Introduction
This Domain Registrant Agreement ("Agreement") is entered into by and between Ryan Davis LLC, operating as WebOps Hosting ("WebOps," "we," "us," or "our"), and you, the customer ("Registrant," "you," or "your"). This Agreement governs your use of our domain name registration, transfer, and renewal services.
This document is supplemental to and incorporates by reference our General Terms and Conditions, Acceptable Use Policy (AUP), and Privacy Policy. By placing an order for a domain name registration, transfer, or renewal through WebOps Hosting, you explicitly agree to be bound by the terms contained herein.
2. Domain Registration
When you register a domain name, you must comply with all rules and regulations established by the applicable top-level domain (TLD) registry and the registrar of record, including the Uniform Domain-Name Dispute-Resolution Policy (UDRP) mandated by ICANN.
All domain name registrations are strictly subject to availability. WebOps Hosting does not guarantee that your desired domain name will be available for registration, nor do we guarantee that any search results indicating availability are completely accurate or real-time.
3. Domain Transfer
Transfers of domain names to or from WebOps Hosting must follow the procedures outlined on our website and are subject to the policies of both the existing and the new registrar. Transfer fees may apply depending on the TLD.
In most instances, successfully transferring a domain name will automatically extend the domain's registration period by one year from its current expiration date. You are responsible for ensuring that your domain is eligible for transfer (e.g., unlocked, outside of any 60-day registration/transfer lock periods) and that you have access to the authorization code (EPP code).
4. Domain Renewal
To ensure uninterrupted service, all domain names are set to automatically renew at the end of their registration term unless you explicitly disable auto-renewal or cancel the service through your WebOps client area prior to the renewal date.
Customer Responsibility: While WebOps Hosting will send automated renewal notices to the email address on file as a courtesy, you are ultimately responsible for keeping your payment information up to date and ensuring that your domain names are successfully renewed. We are not liable for lost domains due to outdated billing profiles or ignored renewal notices.
5. WHOIS Data
ICANN regulations require that all domain registrants provide accurate and reliable contact information for the WHOIS database and promptly update this information if it changes during the term of the registration.
WebOps Hosting offers WHOIS privacy protection services for eligible TLDs to shield your personal information from public databases. However, even if you utilize privacy protection, the underlying data provided to us must remain strictly accurate.
Important Notice: Willful provision of inaccurate or unreliable WHOIS information, or failure to update information within seven (7) days of any change, constitutes a material breach of this Agreement and may result in the immediate suspension or cancellation of your domain registration without refund.
6. Domain Name Disputes
You agree to be bound by our current dispute resolution policies, including the UDRP and any other dispute policies mandated by ICANN or the specific registry. In the event of a dispute regarding your domain name, you must submit to the jurisdiction specified by these policies, which may include administrative panels or courts of competent jurisdiction.
7. Cancellation, Suspension, and Deletion
WebOps Hosting and our partner registrars reserve the right to cancel, suspend, transfer, or delete your domain name registration under the following circumstances:
- Failure to pay registration, renewal, or transfer fees.
- Provision of false, inaccurate, or outdated WHOIS data.
- Violation of this Agreement, our General Terms and Conditions, or our Acceptable Use Policy.
- Receipt of a court order, arbitration award, or instruction from a regulatory body (including ICANN) requiring such action.
- To correct mistakes made by WebOps or the registry in registering the name.
If your domain is deleted or cancelled for any of these reasons, it may become immediately available for registration by other parties.
8. Limitation of Liability
In addition to the limitations set forth in our General Terms and Conditions, WebOps Hosting shall not be liable for any indirect, incidental, special, or consequential damages resulting from the loss of a domain name registration, transfer failures, or interruptions of business.
Liability Cap: Under no circumstances will WebOps Hosting's total aggregate liability regarding any domain name registration or related service exceed the total amount of domain service fees paid by you to WebOps during the twelve (12) months immediately preceding the event giving rise to the liability.
9. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any legal action or proceeding relating to this Agreement shall be instituted in the state or federal courts located in Delaware, and you submit to the exclusive jurisdiction of these courts.
10. Amendments
WebOps Hosting reserves the right to modify this Agreement at any time to reflect changes in ICANN policies, registry rules, or our business practices. We will notify you of any material changes by posting the updated document on our website and updating the "Last Updated" date. Your continued use of the domain registration services following such notification constitutes your acceptance of the revised Agreement.
